AJ TECH Sign App - Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your use of the electronic signature service ("Sign App" or "Service") provided by AJ Interlink USA LLC (DBA "AJ TECH," "we," "us," or "our"). This Service allows AJ TECH to send documents to you for your review and electronic signature.

By accessing, reviewing, or applying your electronic signature to any document using this Service, you ("you," "User," or "Signer") agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service or sign any documents through it.

2. Electronic Signature Consent

By using the Service, you explicitly agree and consent to the following:

  • Legal Equivalence: You agree that your electronic signature (e.g., a mouse-drawn signature, a typed name, or a click-to-sign action) is the legal equivalent of your manual (wet) signature on the document(s) presented to you.

  • Intent to Sign: You confirm that your use of the Service to sign a document constitutes your intent to sign that document and be bound by its terms.

  • Electronic-Only Transaction: You consent to conduct this transaction electronically. You agree that the document(s) will be provided to you in electronic form and that all related communications may be electronic.

  • System Requirements: You confirm that you have the necessary hardware (computer, tablet, or mobile device) and software (a modern web browser and internet access) to view, read, and sign the electronic document(s).

  • Withdrawal of Consent: You may withdraw your consent to sign a specific document electronically by exiting the Sign App before completing the signature. To request a non-electronic (paper) copy and signature process, please contact us directly via the method specified in the document or at ajtech.shop/contact-us.

3. User Responsibilities

As a User of the Sign App, you represent and warrant that:

  • You Are Authorized: You are the individual you claim to be, and if you are signing on behalf of an entity (such as a company), you have the full legal authority to bind that entity to the document.

  • Duty to Read: You are solely responsible for reading and understanding the entire document before applying your signature. AJ TECH is only providing the platform for signature and is not a party to the agreement (unless specified as such) and provides no advice on its contents.

  • Accurate Information: All information you provide during the signing process (such as your name, email address, or date) is accurate, complete, and truthful.

  • Security: You will take reasonable steps to prevent any unauthorized access to or use of your email or the signing link provided to you.

4. Data, Privacy, and Document Handling

Your privacy is important to us. Your use of the Sign App is subject to this section and our main Privacy Policy (available on our website).

  • Data Collection: To provide the Service, we (and our third-party service provider, Odoo) will necessarily process the documents you are sent, your name, email address, IP address, and your electronic signature.

  • Audit Trail: The Service will create a secure audit trail of the signature process, which may include timestamps, IP addresses, and unique identifiers. This audit trail is linked to the final, executed document.

  • Use of Data: We will use this information only to facilitate the signature process, verify your identity, provide a final executed copy to all parties, and maintain legally required records of the transaction.

  • Storage and Security: We will store the executed documents and audit trails in accordance with our internal data retention policies and legal obligations. We implement reasonable technical and administrative security measures to protect these documents from unauthorized access or disclosure.

5. Prohibited Uses

You agree not to use the Sign App for any unlawful purpose or in any way that could damage, disable, or impair the Service. You may not:

  • Attempt to reverse-engineer, decompile, or otherwise access the source code of the Service.

  • Use the Service to sign a document fraudulently, forge a signature, or impersonate another individual.

  • Introduce any viruses, malware, or other harmful code into the Service.

  • Use any automated means (e.g., scraping, bots) to access the Service.

6. Intellectual Property

AJ TECH and its licensors (including Odoo) retain all rights, title, and interest in and to the Sign App and the Service itself, including all underlying software, technology, graphics, and branding. These Terms do not grant you any ownership rights to the Service, only a limited right to use it for its intended purpose of reviewing and signing documents.

7. Disclaimer of Warranties

THE SIGN APP AND SERVICE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. AJ TECH MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SERVICE.

TO THE FULL EXTENT PERMISSIBLE BY LAW, AJ TECH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ALL ELECTRONIC SIGNATURES WILL BE LEGALLY VALID IN ALL JURISDICTIONS FOR ALL PURPOSES.

8. Limitation of Liability

TO THE FULL EXTENT PERMISSIBLE BY LAW, AJ INTERLINK USA LLC (DBA AJ TECH) WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF THIS SERVICE OR FROM ANY DOCUMENT SIGNED VIA THIS SERVICE, INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES. THIS INCLUDES, BUT IS NOT LIMITED TO, DAMAGES ARISING FROM FAILED TRANSACTIONS, LOSS OF DATA, OR THE INACCURACY OF THE SERVICE'S AUDIT TRAIL.

9. Indemnification

You agree to indemnify, defend, and hold harmless AJ Interlink USA LLC, its officers, directors, and employees from any and all claims, liabilities, or expenses (including reasonable attorneys' fees) arising out of or in any way related to your breach of these Terms, your fraudulent use of the Service, or your signing of a document without proper legal authority.

10. Governing Law

These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Dallas County, Texas.

11. Changes to Terms

We reserve the right to modify these Terms at any time. If we make changes, we will provide notice by updating the "Last Updated" date at the top of these Terms. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
